Terms of service

The plain-English terms that apply to every Vicrence project, unless your signed scope says otherwise. Last updated October 2026.

1. Who these terms are between

These terms are between Vicrence, the trading name of Samuel Oyelayo ("we", "us"), and the business that engages us ("you"). Your signed scope and quote form part of the agreement. If the scope and these terms disagree, the signed scope wins.

2. Quotes and scope

  • Every project starts with a written scope, a fixed quote and a target finish date.
  • Quotes are valid for 14 days from the date we send them.
  • Work outside the signed scope is quoted separately as a change request. Nothing extra is started until you approve it in writing.

3. Payment

  • Builds and Rescues are paid in three stages: 40% before work starts, 30% at the mid-build sign-off and 30% before go-live, unless your signed scope sets another schedule.
  • Ops Audits are paid before the session, online or by invoice. The audit fee is credited in full against a build if you go ahead.
  • Care Lite, Care and Growth plans are paid monthly in advance, with a 3-month minimum, then month to month.
  • Invoices are due within 7 days. We may pause work on overdue accounts after giving you notice.

4. What you provide

Timely access to your systems, data and the people who know your processes, plus sign-off at each stage. Delays in access or approvals may move the finish date; we will tell you as soon as that happens.

5. Zoho and third-party costs

Zoho licences and any other software subscriptions are paid by you, directly to the provider, and stay in your name. Their availability, features and pricing are set by those providers, not by us.

6. Ownership

Once paid in full, everything we build for you, including configurations, scripts, templates and documentation, belongs to you. You keep full admin access to your accounts at all times. We may reuse general know-how and non-client-specific techniques.

7. Confidentiality and data

We keep your business information and data confidential and use it only to deliver your project. We access your systems only as needed, and you can revoke our access at any time. See our privacy notice for how we handle personal data.

8. Warranty and support

We fix defects in work we delivered, at no charge, if you report them within 30 days of go-live. Changes in how you want things to work, and issues caused by later edits or third-party updates, are handled as new requests or through a Care plan.

9. Liability

We deliver our work with reasonable care and skill. Our total liability for any project is limited to the fees you paid for that project. We are not liable for indirect losses, such as lost profit or lost data, or for outages or changes in third-party platforms, including Zoho.

10. Ending a project

Either side may end a project with written notice. You pay for work completed up to that date, and we hand over everything built so far. Plans can be cancelled with one month's notice after the minimum term.

11. Disputes

If something goes wrong, tell us first and we will work to put it right. Any dispute we cannot resolve together is handled under the law and in the courts named in your signed scope.
